6. Payment Terms
Payment terms vary by service type and are specified in individual project agreements or service subscriptions:
- Consulting Services: Typically billed hourly or by project milestone
- Software Applications: May include subscription fees, usage-based pricing, or one-time licenses
- Custom Development: Usually structured as milestone-based payments
All fees are non-refundable unless otherwise specified in writing. Late payments may incur additional charges.
7. Service Level and Availability
We strive to provide reliable, high-quality Services but cannot guarantee uninterrupted availability. Our Services are provided on an "as-is" and "as-available" basis.
We may perform maintenance, updates, or modifications that temporarily affect Service availability. We will provide reasonable notice when possible.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUM1 SOLUTIONS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES.
Our total liability to you for any claims arising from or related to these Terms or our Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Sum1 Solutions, LLC and our officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorney fees) arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through our Services
10. Termination
Either party may terminate this agreement at any time with or without cause. Upon termination:
- Your access to our Services will cease
- Outstanding payment obligations remain due
- Data retention will follow our Privacy Policy
- Provisions that should survive termination (such as liability limitations) will remain in effect
11. Governing Law and Disputes
These Terms are governed by the laws of the State where Sum1 Solutions, LLC is incorporated, without regard to conflict of law principles.
Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.
12. Changes to Terms
We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email to registered users when possible.
Your continued use of our Services after changes take effect constitutes acceptance of the new Terms.
