• Compliance Solutions: Data privacy implementations and regulatory compliance consulting

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use our Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to any systems or data
• Transmit malicious code, viruses, or harmful content
• Interfere with or disrupt the integrity or performance of our Services

Client-Developed Content

For custom development projects, intellectual property ownership will be specified in separate project agreements. Generally:

• Custom code developed specifically for your project becomes your property upon full payment
• Reusable components, frameworks, and methodologies remain our property
• Third-party libraries and tools retain their respective licenses

6. Payment Terms

Payment terms vary by service type and are specified in individual project agreements or service subscriptions:

• Consulting Services: Typically billed hourly or by project milestone
• Software Applications: May include subscription fees, usage-based pricing, or one-time licenses
• Custom Development: Usually structured as milestone-based payments

All fees are non-refundable unless otherwise specified in writing. Late payments may incur additional charges.

We strive to provide reliable, high-quality Services but cannot guarantee uninterrupted availability. Our Services are provided on an "as-is" and "as-available" basis.

We may perform maintenance, updates, or modifications that temporarily affect Service availability. We will provide reasonable notice when possible.

Either party may terminate this agreement at any time with or without cause. Upon termination:

• Your access to our Services will cease
• Outstanding payment obligations remain due
• Data retention will follow our Privacy Policy
• Provisions that should survive termination (such as liability limitations) will remain in effect

11. Governing Law and Disputes

These Terms are governed by the laws of the State where Sum1 Solutions, LLC is incorporated, without regard to conflict of law principles.

Any disputes arising from these Terms or our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

12. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on our website. Material changes will be communicated via email to registered users when possible.

Your continued use of our Services after changes take effect constitutes acceptance of the new Terms.
